Online Agreement
By accepting this
Agreement, you (“you” and “your” means each party to an account
accessible by ProGrowth
ONLINE or ProGrowth ONLINE Plus)
acknowledge and agree that the terms and conditions outlined in this
Agreement will apply to and govern your use of the Internet banking
services (“ProGrowth
ONLINE”) offered by ProGrowth
Bank (“the Bank”). Any reference
made throughout this agreement to
ProGrowth ONLINE
includes both ProGrowth
ONLINE
for consumer or ProGrowth
ONLINE Plus
What This Agreement
Covers
This Agreement between you
and the Bank governs your use of ProGrowth
ONLINE, which is the electronic service provided by the Bank that
permits you to access financial services or account information through
the use of the Internet . The terms and conditions of this Agreement are
in addition to, and shall supplement, all other electronic fund transfer
disclosures, terms, conditions, rules, and regulations between you and the
Bank, provided, however, that in the event of any inconsistency between
those agreements and this Agreement, this Agreement shall govern and
prevail.
Your Responsibility
You are responsible to keep
us informed if you have a change of address, phone number, or email
address. You must notify us of any changes as soon as it is convenient via
mail, phone, fax, and email or in person.
You are responsible for
selecting any and all necessary hardware and an Internet Service Provider,
and for any defect, malfunction or interruption in service or security due
to hardware failure or your choice of Internet Service Provider. You are
responsible for protecting your computer and files against viruses and
removing any viruses you detect on your computer or files.
We have no responsibility or liability for the same.
Amendments
The Bank may change the
functions and capabilities of ProGrowth
ONLINE
and the terms, including fees, set forth in this Agreement at any time.
You will be notified of any such changes 30 days prior to the effective
date of the changes, either by mail or by an
electronic message. If you do not agree with the change(s), you must
notify the Bank in writing prior to the effective date to cancel ProGrowth
ONLINE.
Cancellation
We
may modify, suspend or cancel your privilege of using our ProGrowth Online
and may withhold approval of any transaction, at any time, without prior
notice to you. In the event we cancel the ProGrowth Online; we will try to
notify you in advance but are not required to do so. You will be notified
as soon as practicable.
You
may cancel ProGrowth Online by notifying the Bank by mail at PO BOX 77,
Nicollet, MN 56074, Attention:
Internet Banking Department or by email to
help@progrowth.com
or by personal delivery of written notice to the Bank. Termination shall
not affect the rights and obligations of the parties for transactions made
with the ProGrowth Online before we have had a reasonable time to respond
to your cancellation request.
Regularly scheduled
recurring transfers or payments that you set
up on ProGrowth ONLINE, to transfer funds between accounts and/or loans
with us will continue upon cancellation of ProGrowth ONLINE, unless you
specifically notify us that such transfers or payments should be
discontinued. If we cancel ProGrowth ONLINE, regularly scheduled recurring
transfers or payments that you set up on ProGrowth ONLINE to transfer
funds between accounts and/or loans with us will continue unless
specifically noted in our notice of cancellation.
No Other Use
ProGrowth
ONLINE provides access to services and information from the Bank. This
service may be utilized only for your own use and no portion of the
information provided through ProGrowth ONLINE may be reproduced, sold or
distributed.
Functions
ProGrowth
ONLINE enables you to perform the following transactions:

view account information
-
transfer funds among your
deposit accounts with us
-
transfer funds from your
line of credit to your checking account with us
-
make payments out of
deposit accounts to your loan accounts with us
-
transaction downloads
-
transaction inquiry
-
stop payments
These transactions are
possible for those accounts identified on your ProGrowth
ONLINE Enrollment
Form at the time of enrollment. Additional
accts can be added or deleted upon your request.
You must be an authorized
signer on each account you wish to access.
You may not designate any
account that requires more than one signature for withdrawals.
Obligations to Make
Transfers
We
are not obligated to make any transfer:

If your account does not contain sufficient
collected funds to make the transfer.
-
If the money in your account is
subject to legal process or other encumbrances restricting the transfer.
-
If the transfer would go over the credit limit on your ready reserve
account, if any.
-
If a transfer system was not working properly and you
knew about the breakdown when you started the transfer.
-
If circumstances
beyond our control (such as fire, flood or power failure) prevent the
transfer or use of our ProGrowth Online despite reasonable precautions
that we have taken.

If incomplete or inaccurate information is forwarded
to us by you or through an automated clearinghouse.
-
If you have not
properly followed the instructions for using the ProGrowth Online.
-
If
your operating system is not properly installed or functioning properly.
-
For errors or failures from any malfunctions of your browser, internet
service provider, computer, computer virus or other problems relating to
the computer equipment you use with the ProGrowth Online, including,
without limitation, your inability to access the ProGrowth Online or any
part of the ProGrowth Online.

For a failure to provide access or for
interruptions in access to the ProGrowth Online due to ProGrowth Online
system failure.
NOTWITHSTANDING
ANY OTHER PROVISION IN THIS AGREEMENT, UNLESS OTHERWISE PROHIBITED BY LAW,
OUR SOLE RESPONSIBILITY FOR AN ERROR BY US OR OUR THIRD PARTY PROVIDER IN
TRANSFERRING FUNDS OR OTHERWISE ARISING FROM OR RELATING TO THIS AGREEMENT
WILL BE TO CORRECT ANY ERRORS, BUT IN NO CASE WILL WE BE LIABLE FOR ANY
INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH
OR IN ANY WAY RELATED TO PROGROWTH ONLINE OR OUR PERFORMANCE HEREUNDER.
IF
YOU ARE DISSATISFIED WITH OUR PROGROWTH ONLINE YOUR SOLE AND EXCLUSIVE
REMEDY SHALL BE FOR YOU TO DISCONTINUE USE OF THIS SERVICE AND/OR
TERMINATE THIS AGREEMENT IN ACCORDANCE WITH SECTION LABELED CANCELLATION.
Limitations
of Transfers
You
must have enough available money or credit in any account from which you
choose to make a payment or transfer. The Bank will not be obligated to
act on any withdrawal instructions from you if sufficient funds, including
Ready Reserve lines of credit, are not available in the account you
designate for making the payment or transfers. In either event, you are
responsible for any non-sufficient funds fees and overdraft charges that
may apply.
Under
federal regulations, you may make no more than six preauthorized
electronic fund transfers and telephone transfers, including internet
transfers, checks and point-of-sale transactions per month from your
savings or money market deposit account. Of these six transactions, you
are limited to no more than three transactions per month by check, draft,
or debit card. Each fund transfer through our ProGrowth Online from your
savings or money market deposit account is counted as one of the six
limited transfers you are permitted each month. (However, payments to your
loan accounts with us are not counted toward this limit for savings and
money market deposit accounts.)
Cut
off Times for Transfers
Our
business days are Monday through Friday. The following holidays are not
included as business days: New Years Day, Martin Luther King Day,
Presidents Day, Memorial Day, July 4th, Labor Day, Columbus Day, Veterans
Day, Thanksgiving Day, and Christmas Day.
We
can process a fund transfer on the same business day as your request, if
we receive your request before our ProGrowth Online cut-off time of
3:00 p.m.
on a business day. If we receive your request after the
3:00
cut-off time, we will process the transaction on our next business day. If
you schedule a fund transfer for a future date, we will process the
transaction on that business day. If the date you request for a future
transfer is not a business day, we process the transaction on the business
day immediately following the date you have requested. If you schedule a
recurring funds transfer and the date does not exist in a month, the
transfer will be processed on the last business day of that month.
Canceling
Transfers
You may cancel or change a
pending funds transfer by selecting the appropriate fields from the transfer
menu. This must be done prior to the
3:00
cutoff time, and at least one day before the transaction is to be
processed.
Your Password/PIN
To access your accounts(s)
using ProGrowth
ONLINE,
you must use the user identification number or login
we provide for you at the time of enrollment with a password. The codes
have the same effect as your signature to authorize the instructions you
provide to the Bank. DO
NOT SHARE YOUR USER ID OR PASSWORD WITH ANYONE.
Anyone with whom you share these codes will have full access to
your account via ProGrowth
ONLINE even if you attempt to limit that person’s authority. You
will be responsible for any transactions conducted by someone with whom
you shared your codes. You are liable for all transactions that you make
or authorize, even if the person you authorize exceeds your authority. If
you have given someone your ProGrowth
ONLINE
user identification number, password and code word or
other means of access and want to terminate that person’s authority you
must change your password or other means of access or take additional
steps to prevent further access by such person.
Select your password
carefully. Choose a code number that is easy for you to remember but would
be difficult for someone else to guess. We suggest using a combination of
6-8 alpha and numeric characters. Your password is a very confidential
piece of data. Guard it carefully. Changing your password frequently is a
good security practice. You may change your password anytime you log into
ProGrowth
ONLINE
and
select the Account Management Option. You MUST change your password the first time
you log in to ProGrowth
ONLINE.
You will
be prompted every 180 days to change your password.
Contact
in Event of Unauthorized Access
It is your responsibility
to notify us immediately if you believe any of your PINs have been lost,
stolen or otherwise available to an unauthorized person. Telephoning is
the best way of keeping your possible losses down. You could lose all the
money in your Accounts (plus your maximum overdraft line of credit). If
you believe your PIN has been lost or stolen or that someone has
transferred or may transfer money from your Account(s) without your
permission, call our Internet Banking Department at 1-888-244-3490,
between the hours of 8:00am and 5:00pm Monday thru Friday or write to:
ProGrowth Bank, Attention Internet Banking Dept., PO Box 77, Nicollet, MN
56074, or email us at help@progrowth.com. or fax your request to
1-507-232-3978. Any request to change the PIN number or to block access to
ProGrowth ONLINE
will require your ID Verification Code. This will be effective after we
have received your request and have confirmed the request with your
authorized representative.
Fees
There is no monthly fee for
access to ProGrowth
ONLINE, at this time.
Additional fees apply to ProGrowth
ONLINE PLUS, see Additional Provisions
section for details. However, please refer to our service fee schedule for
other charges, which may apply, such as non-sufficient funds fees. We will
notify you at least 30 days prior to any changes in these fees. You are
responsible for all telephone charges you incur in connecting to the
Internet. You are also responsible for charges by any Internet Service
Provider you use.
Statements
You are responsible for
accurately entering all data necessary to perform a transaction in your
accounts and for verifying all instructions transmitted to the Bank.
Your Internet banking transactions will be indicated on your
monthly or quarterly statement we provide or make accessible to you for
your accounts. You agree to
notify us promptly and in accordance with your deposit account agreement
if you change your address or if you believe there are any errors or
unauthorized transactions on any statement, or statement information.
Additional Provisions
Business interested in
enrolling for ProGrowth
ONLINE PLUS
will be required to meet with a Bank Representative regarding additional
services and agreements.
